When Milestone Billing Makes Sense

Milestone-based invoicing suits projects that span weeks or months — software development, interior design, civil construction, branding overhauls, and any work where a single lump-sum invoice would create cash flow strain. The project is broken into clearly defined deliverables (kickoff, design approval, MVP, beta, go-live) and each deliverable triggers an invoice. This gives the vendor working capital and the client a tangible checkpoint before paying. Standard splits are 25-25-25-25 or 30-40-30, but the contract should spell out exact percentages.

Drafting Milestone Clauses in the Contract

A solid contract defines each milestone by acceptance criteria, not effort. "Login flow built" is weak; "login flow with OTP, social auth, and password reset deployed to staging and signed off by client PM" is enforceable. Each milestone clause should specify the invoice amount, payment due date (typically 15 days after sign-off), sign-off mechanism (email approval is sufficient under the Indian Contract Act), and what happens if the client delays approval. Adding a "deemed acceptance" clause — auto-approved after 7 working days of silence — protects the vendor from open-ended waits.

GST Treatment Per Milestone

Under Section 13 of the CGST Act, time of supply for services is the earliest of invoice date (if issued within 30 days), payment receipt date, or date of completion of service. For milestones, GST is charged on each milestone invoice at the applicable rate, not waited until project end. If a client pays an advance against a future milestone, GST liability is triggered on the advance under Rule 50, requiring an advance receipt voucher. Keeping milestones short avoids GST timing mismatches that complicate GSTR-1 filing.

Handling Scope Creep and Change Requests

The biggest failure mode is scope creep masquerading as the original work. Track every change request as a separate line item with its own micro-quote, even if you eventually bundle it into the next milestone invoice. Numbered change-request logs prevent the "but you said you'd include it" conversation at month-end. Keep a buffer milestone at 10% of total value held until final acceptance — this is industry standard and dramatically reduces last-mile disputes.
