Definition and Direction of Flow
A purchase order (PO) is issued by the buyer to the seller as a formal offer to buy specified goods or services at agreed terms. An invoice is issued by the seller to the buyer requesting payment after delivery. The PO flows buyer-to-seller and the invoice flows seller-to-buyer — opposite directions of the same commercial transaction. Once the seller accepts the PO, it becomes a binding contract under the Indian Contract Act even before the invoice is raised.
Three-Way Match in Accounts Payable
Mid-to-large enterprises run a three-way match before paying any invoice: PO, Goods Receipt Note (GRN), and the supplier invoice must agree on item, quantity, rate, and tax. The PO confirms what was ordered, the GRN confirms what was received, and the invoice confirms what is being charged. Mismatches in any of the three trigger a hold, and the accounts payable team contacts the vendor or warehouse for resolution. This control prevents overpayment, duplicate billing, and fictitious vendor fraud — a major SOX and internal audit checkpoint.
Mandatory PO Reference on Invoices
When dealing with corporate buyers, the PO number must appear prominently on every invoice line and on the email subject when sending. Without a PO reference, the buyer's AP system rejects the invoice automatically and your payment cycle resets. Some enterprises also require contract number, delivery challan number, and cost center code on the invoice. Sending invoices missing these references is the single biggest cause of 60+ day payment delays in Indian B2B.
Partial Deliveries and Multiple Invoices
A single PO often spans multiple deliveries — for example, an annual rate contract for stationery delivered monthly. Each delivery generates its own GRN and its own invoice, all referencing the same parent PO but with running PO line balances. Tracking PO consumption ensures you don't over-invoice against an order. Many disputes arise when vendors submit a fresh PO number rather than reusing the open one, so always ask the buyer's procurement team for clarity upfront.
