Step 1: Acknowledge Within 24 Hours

The moment a client disputes an invoice — by email, call, or via your portal — acknowledge in writing within 24 hours, even if you cannot resolve it immediately. A simple "We've received your concern about invoice INV-2025-104 and will respond by Friday with details" prevents the dispute from escalating to the buyer's CFO or legal team. Silence is the single biggest aggravator in B2B disputes and turns a Rs. 50,000 disagreement into a relationship-ending standoff. Always log the dispute in your CRM or invoicing tool with timestamps.

Step 2: Isolate the Disputed Portion

Most disputes are about specific line items, not the entire invoice. A Rs. 5 lakh invoice may have a Rs. 40,000 dispute on one charge while Rs. 4.6 lakh is undisputed. Ask the customer to confirm in writing exactly which line they dispute and why — pricing mismatch, quantity short, quality issue, or scope disagreement. Documenting the disputed amount separately lets you push for partial payment of the undisputed portion immediately, which is the industry-standard resolution norm.

Step 3: Collect the Undisputed Amount Now

Push the customer to pay the undisputed Rs. 4.6 lakh within their normal payment terms while the Rs. 40,000 dispute is investigated. Most legitimate customers will agree because it preserves their cash flow optics. If they refuse to pay even the undisputed portion, the dispute is likely a tactic to delay the whole payment, and you should escalate. Indian commercial courts and arbitrators recognize that withholding undisputed amounts is bad faith.

Step 4: Resolve and Issue a Credit Note

After investigating, if the customer is right, issue a GST credit note under Section 34 of the CGST Act for the disputed amount, referencing the original invoice number and reason for credit. The credit note must be reported in GSTR-1 of the month it is issued, and your output GST liability reduces accordingly. If you're right, send a detailed written response with evidence (delivery proofs, signed scopes, prior emails) and request payment within 7 days. Most disputes settle once one side produces clean documentation.
